1. About Halfway Hungry

Halfway Hungry LLP (“Halfway Hungry”, “we”, “us”, or “our”) is a peer-to-peer food delivery platform built for students and staff at Singapore Management University (“SMU”). We connect users who want food (“Customers”) with fellow students who deliver it (“Runners”). Customers and Runners are collectively referred to as “Users” or “you”.

Halfway Hungry is a technology platform only. We are not a restaurant, food establishment, food handler, or delivery service. We do not prepare, cook, handle, store, or inspect any food items. We facilitate the connection between Customers and Runners for peer-to-peer delivery of food from existing campus food stalls.

2. Acceptance of Terms

By accessing, browsing, or using Halfway Hungry (including our website, application, and any related services), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately stop using the platform.

Your continued use of Halfway Hungry after any modification to these Terms constitutes your acceptance of the modified Terms. We reserve the right to update these Terms at any time without prior notice. By creating an account, you also consent to the collection and use of your personal data as described in our Privacy Policy, in accordance with Singapore's Personal Data Protection Act.

3. Eligibility and Representations

By creating an account and using Halfway Hungry, you represent and warrant that:

  • You are a current SMU student or staff member
  • You are at least eighteen (18) years of age and have the legal capacity to enter into this agreement
  • All information you provide is true, accurate, current, and complete
  • You will maintain and promptly update your information to keep it accurate
  • You will keep your account credentials secure and confidential
  • You will not authorise others to use your account or transfer your account to any other person
  • You will comply with all applicable laws and regulations in connection with your use of the platform
  • You will not use the platform for any unlawful, fraudulent, or harmful purpose

Halfway Hungry reserves the right to refuse access to any person who fails to meet these requirements or who we believe, in our sole discretion, poses a risk to the platform or its users.

4. Orders and Payments

  • All prices are displayed in Singapore Dollars (SGD)
  • Payments are processed securely via Stripe using PayNow
  • Prices include the food cost and a delivery fee; packaging fees may apply for select vendors
  • Orders can only be placed for delivery within the SMU campus
  • You are responsible for providing an accurate delivery location (building and room number)
  • Halfway Hungry does not guarantee the availability of any food items listed on the platform

5. Cancellations and Refunds

Orders may be cancelled before a Runner accepts delivery. Once accepted, cancellation is not available through the app. Please see our Refund Policy for full details.

6. Runners — Independent Participant Status

Runners are independent participants on the platform. Runners are NOT employees, agents, contractors, partners, or representatives of Halfway Hungry LLP. By signing up as a Runner, you expressly acknowledge and agree that:

  • You act on your own volition and at your own risk when accepting and fulfilling delivery orders
  • You are solely responsible for your own conduct, safety, and actions during the purchase, transport, and delivery of food items
  • You are solely responsible for any personal injury, loss, property damage, or liability sustained or caused by you while performing deliveries
  • Halfway Hungry does not provide any insurance, workers' compensation, or other coverage for Runners
  • You are responsible for purchasing food with your own funds and uploading valid receipts for reimbursement
  • You assume full responsibility and liability for all loss or damage suffered by yourself, Halfway Hungry, or any third party as a result of your breach of these Terms
  • You shall not contact Customers for any purpose other than in connection with an active order

7. User Responsibilities

  • Provide accurate delivery information
  • Be available at your specified location during the delivery window
  • Treat Runners, Customers, and all other users with respect
  • Do not misuse the platform (e.g., fraudulent orders, abuse of refund policies, manipulation of the system)
  • Do not attempt to circumvent, disable, or otherwise interfere with the platform's operation
  • Do not attempt to commercially exploit, copy, reproduce, or create derivative works from any part of the platform without prior written consent from Halfway Hungry

8. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS THE LIABILITY OF HALFWAY HUNGRY LLP AND ITS PARTNERS, OFFICERS, AND AGENTS.

8.1 The platform and all services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

8.2 Halfway Hungry is a technology platform that facilitates peer-to-peer food delivery. We do not prepare, cook, handle, store, or inspect food items. To the fullest extent permitted by law, Halfway Hungry and its partners, officers, and agents shall not be liable for:

  • The quality, safety, freshness, or preparation of food items prepared by independent campus vendors
  • Allergic reactions, food-borne illnesses, or any adverse health effects from consuming food ordered through the platform
  • The accuracy of menu descriptions, pricing, nutritional information, or allergen information provided by vendors
  • Delays caused by vendor preparation times, campus conditions, or circumstances beyond our reasonable control
  • The conduct, actions, negligence, or omissions of any User (Customer or Runner)
  • Any loss, damage, injury, or death arising from the use of or inability to use the platform
  • Any transaction or relationship between you and any campus vendor or other User

8.3 TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF SINGAPORE, HALFWAY HUNGRY LLP'S TOTAL AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID THROUGH THE PLATFORM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TWENTY SINGAPORE DOLLARS (SGD 20.00).

8.4 IN NO EVENT SHALL HALFWAY HUNGRY LLP, ITS PARTNERS, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR INABILITY TO USE THE PLATFORM, EVEN IF HALFWAY HUNGRY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.5 HALFWAY HUNGRY DOES NOT ASSESS OR MONITOR THE SUITABILITY, CONDUCT, OR ACTIONS OF ANY USERS, INCLUDING RUNNERS AND CUSTOMERS. YOU EXPRESSLY WAIVE AND RELEASE HALFWAY HUNGRY LLP FROM ANY AND ALL LIABILITY, CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO ANY OTHER USER OF THE PLATFORM.

8.6 YOU UNDERSTAND THAT BY USING THE PLATFORM, YOU MAY BE EXPOSED TO SITUATIONS THAT ARE POTENTIALLY UNSAFE, AND YOU AGREE THAT YOU USE THE PLATFORM ENTIRELY AT YOUR OWN RISK.

9. Indemnification

You agree to indemnify, defend, and hold harmless Halfway Hungry LLP, its partners, officers, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

  • Your use of or inability to use the platform
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any rights of another party, including any other User
  • Any food safety issue, allergic reaction, or health claim arising from food you ordered or delivered
  • Any dispute between you and another User (Customer or Runner)
  • Any claim by a third party arising from your actions, omissions, or conduct on the platform
  • Any content, information, or material you provide through the platform, including misleading, inaccurate, or fraudulent information
  • Any personal injury, property damage, or death caused by or arising from your actions

This indemnification obligation shall survive the termination of your account and these Terms.

10. Assumption of Risk

You acknowledge and expressly agree that:

  • Peer-to-peer food delivery involves inherent risks, including but not limited to food quality issues, delivery delays, potential allergic reactions, food-borne illness, and personal safety risks
  • You voluntarily assume all risks associated with using the platform, whether as a Customer or Runner
  • Runners assume all risks associated with purchasing, transporting, and delivering food, including risks to personal safety and property
  • Customers assume all risks associated with consuming food ordered through the platform, including risks related to food quality, allergens, and preparation standards
  • Halfway Hungry has no control over and makes no guarantees regarding the actions of any User, campus vendor, or third party

11. Dispute Resolution

11.1 Any dispute, controversy, or claim arising out of or relating to these Terms, the platform, or any transaction conducted through the platform shall first be resolved through good-faith negotiation by contacting us at halfwayhungryadmin@gmail.com.

11.2 If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be referred to and resolved by mediation administered by the Singapore Mediation Centre (“SMC”) in accordance with its prevailing mediation rules.

11.3 If mediation is unsuccessful within sixty (60) days from the commencement of mediation, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with its prevailing rules. The arbitration shall be conducted in English by a single arbitrator appointed in accordance with SIAC rules. The seat of arbitration shall be Singapore.

11.4 CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR CLASS-WIDE ARBITRATION AGAINST HALFWAY HUNGRY LLP.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. Subject to the dispute resolution provisions in Section 11, you agree to submit to the exclusive jurisdiction of the courts of the Republic of Singapore.

13. Force Majeure

Halfway Hungry shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, pandemic, epidemic, government orders or restrictions, war, terrorism, civil unrest, labour disputes, network or infrastructure failures, power outages, campus closures, or disruption to third-party services.

14. Account Suspension and Termination

14.1 Halfway Hungry reserves the right to suspend, restrict, or terminate your account and access to the platform at any time, with or without cause, and with or without prior notice, at our sole discretion. Reasons for suspension or termination may include, but are not limited to, violation of these Terms, fraudulent activity, abusive behaviour, or inactivity.

14.2 Upon termination, your right to access and use the platform ceases immediately. Any pending orders may be cancelled at our discretion.

14.3 The following sections shall survive termination of your account and these Terms: Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 10 (Assumption of Risk), Section 11 (Dispute Resolution), Section 12 (Governing Law), and Section 15 (Intellectual Property).

15. Intellectual Property

All content, trademarks, service marks, logos, trade names, software, and other intellectual property associated with Halfway Hungry and the platform are the exclusive property of Halfway Hungry LLP or its licensors. You may not copy, reproduce, modify, distribute, display, create derivative works from, or commercially exploit any part of the platform or its content without prior written consent from Halfway Hungry LLP.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall be limited or eliminated to the minimum extent necessary. The remaining provisions of these Terms shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Halfway Hungry LLP with respect to your use of the platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.
